Reliance Upon Written Instructions. The Trustee is authorized to follow and conclusively rely upon all written instructions given, in accordance with the terms of this Agreement, jointly by any two officers of the Grantor named in Exhibit E, as amended and updated from time to time by the Grantor, or a Beneficiary under the written authority furnished to the Trustee by a Beneficiary, including without limitation, instructions given by letter or facsimile transmission, if the Trustee believes such instructions to be genuine and to have been signed by the proper party or parties, and the Trustee shall be fully protected in acting or refraining from acting, as the case may be, in accordance with such written instructions. The Trustee shall not incur any liability to anyone resulting from actions taken by the Trustee in reliance in good faith on such instructions. The Trustee shall not incur any liability in executing instructions (i) from any attorney-in-fact or (ii) from any officer of the Grantor or Beneficiary, named in an incumbency certificate delivered hereunder prior to receipt by it of a more current certificate.

The Trustee shall not incur any liability to anyone resulting from actions taken by the Trustee in reliance in good faith on those instructions. The Trustee shall not incur any liability in executing instructions (i) from any attorney-in-fact or (ii) from any officer of the Grantor or Beneficiary, named in an incumbency certificate delivered hereunder prior to receipt by it of a more current certificate.
Reliance Upon Written Instructions. The Committee, an Authorized Administrator or an Authorized Employee shall inform the Trustee in writing of how many shares are required to fund distributions under Section 8.1(a). The Trustee may rely upon written instructions received from the Committee, Authorized Administrator or Authorized Employee to carry out the instructions contained in this Section 8.1 and shall have no responsibility to verify or monitor the determinations made by the Committee, Authorized Administrator or Authorized Employee. Notwithstanding the foregoing, in the event the Trustee receives a distribution request it knows or should reasonably know to be fraudulent, the Trustee shall promptly notify the Committee of such request and its concerns therewith. No shares of Company Stock shall be released in satisfaction of any such request unless and until the Committee confirms the authenticity of such request and provides written notification to the Trustee of such determination.

  • Reliance Upon Instructions The Custodian shall be entitled to rely upon any Proper Instructions if such reliance is made in good faith. The Trust agrees to forward to the Custodian Written Instructions confirming Oral Instructions in such a manner so that such Written Instructions are received by the Custodian, whether by hand delivery, telex, facsimile or otherwise, on the same Business Day on which such Oral Instructions were given. The Trust agrees that the failure of the Custodian to receive such confirming instructions shall in no way affect the validity of the transactions or enforceability of the transactions hereby authorized by the Trust. The Trust agrees that the Custodian shall incur no liability to the Trust for acting upon Oral Instructions given to the Custodian hereunder concerning such transactions.

  • Reliance Upon Documents and Instructions The Custodian shall be entitled to rely upon any certificate, notice or other instrument in writing received by it and reasonably believed by it to be genuine. The Custodian shall be entitled to rely upon any Written Instructions actually received by it pursuant to this Agreement.

  • Reliance on Electronic Instructions If the Trust has the ability to originate electronic instructions to GFS in order to (i) effect the transfer or movement of cash or Shares or (ii) transmit Shareholder information or other information, then in such event GFS shall be entitled to rely on the validity and authenticity of such instruction without undertaking any further inquiry as long as such instruction is undertaken in conformity with security procedures established and agreed upon by GFS and the Fund’s investment adviser.

The Fund agrees to forward to the Custodian Written Instructions from an Authorized Person confirming such Oral Instructions in such manner so that such Written Instructions are received by the Custodian, whether by hand delivery, telex or otherwise, by the close of business on the same day that such Oral Instructions are given to the Custodian. The Fund agrees that the fact that such confirming instructions are not received by the Custodian shall in no way affect the validity of the transactions or enforceability of the transactions hereby authorized by the Fund. The Fund agrees that the Custodian shall incur no liability to the Fund in acting upon Oral Instructions given to the Custodian hereunder concerning such transactions provided such instructions reasonably appear to have been received from a duly Authorized Person.

  • Suspension or Debarment Instructions Instructions for Certification 1. By answering yes to the next Attribute question below, the vendor and prospective lower tier participant is providing the certification set out herein in accordance with these instructions.

  • No Action Except Under Specified Documents or Instructions The Owner Trustee shall not manage, control, use, sell, dispose of or otherwise deal with any part of the Trust Estate except (i) in accordance with the powers granted to and the authority conferred upon the Owner Trustee pursuant to this Agreement, (ii) in accordance with the Transaction Documents and (iii) in accordance with any document or instruction delivered to the Owner Trustee pursuant to Section 6.3.

The Custodian shall not be responsible or liable for any diminution of value of any Assets held by the Custodian or its subcustodians pursuant to Instructions. In following Instructions, the Custodian shall be fully protected and shall not be liable for the acts or omissions of any person or entity not selected or retained by the Custodian in its sole discretion, including but not limited to, any broker-dealer or other entity designated by the Fund or Authorized Person to hold Assets of the account as collateral or otherwise pursuant to an investment strategy.
