Remedy for Termination. In the event this Subcontract is terminated for any reason other than Subcontractor’s default, Subcontractor will be entitled to payment in full for all Subcontract Work properly performed through the effective date of the termination, reasonable termination expenses expended by Subcontractor or its LTEs, and reasonable costs for demobilization incurred by each of Subcontractor and its LTEs. Notwithstanding the foregoing, Subcontractor will not be entitled to recover overhead or profit on Subcontract Work not executed, loss of business, loss of profits, loss of productivity, or any consequential, indirect, or special damages as a result of termination of this Subcontract for any reason. Payment of Subcontractor’s termination costs will be made in accordance with Article 7. Notwithstanding the forgoing, Subcontractor agrees that in the event Client terminates the Prime Contract, or any portion of it related to the Subcontract Work, the types and amounts of compensation available to Subcontractor will be as specified in the Prime Contract, and Subcontractor expressly waives its right to any compensation beyond that portion of compensation received by TRC from Client for the Subcontract Work.

Remedy for Termination. If this Agreement is terminated pursuant to Section 7.01 or 7.02, the Commission agrees to purchase the Remaining Property from the Developer in an amount equal to the original purchase price, plus interest paid by the Developer with respect to the amount it borrowed to purchase the Remaining Property within ninety (90) days after such termination is authorized pursuant to the dispute resolution procedures of Section 7.05.
