Removal from any Boards and Positions. Upon Executive’s termination of employment for any reason under this Agreement, Executive shall be deemed to resign (i) if a member, from the Board and board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Employer, (ii) from each position with the Company or any Affiliate, including as an officer of the Company, the Bank, or any of their respective Affiliates and (iii) as a fiduciary of any employee benefit plan of the Employer.

Upon If the Executive’s termination of employment is terminated for any reason under this Agreement, Executive he shall be deemed to resign (i) if a member, from the Board and of Managers of the Company or board of managers or board of directors of any Affiliate and subsidiary of the Company or any other board to which Executive he has been appointed or nominated by or on behalf of the Employer, Company and (ii) from each any position with the Company or any Affiliatesubsidiary of the Company, including including, but not limited to, as an officer of the Company, the Bank, Company or any of their respective Affiliates and (iii) as a fiduciary of any employee benefit plan of the Employerits subsidiaries.

Removal from any Boards and Positions. Upon the Executive’s 's termination of employment for any reason under this Agreement, the Executive shall be deemed to resign (i) if a member, from the Company’s Board and of Directors (the “Board”) or board of directors of any Affiliate and affiliate or any other board to which the Executive has been appointed or nominated by or on behalf of the EmployerCompany, (ii) from each any position with the Company or any Affiliateaffiliate, including including, but not limited to, as an officer of the Company, the Bank, Company or any of their respective Affiliates its affiliates, and (iii) as a fiduciary of any employee benefit plan of the EmployerCompany.

Upon Executive’s termination of employment for any reason under this Agreement, Executive shall be deemed to resign (i) if a member, from the Board and board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the EmployerEmployer or an Affiliate, (ii) from each position with the Company or any AffiliateEmployer and the Affiliates, including as an officer of the CompanyEmployer or the Affiliates, the Bank, or any of their respective Affiliates and (iii) as a fiduciary of any employee benefit plan of the EmployerEmployer or the Affiliates.

Upon Executive’s termination of employment for any reason under this Agreement, unless otherwise agreed in writing between the Board and Executive, Executive shall be deemed to resign (i) if a member, from the Board and board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Employer, (ii) from each position with the Company Employer or any Affiliate, including as an officer of the Company, the Bank, Employer or any of their respective its Affiliates and (iii) as a fiduciary of any employee benefit plan of the Employer.

Upon If Executive’s termination of employment is terminated for any reason under this Agreementreason, Executive shall automatically, without further action, notice or deed, be deemed to resign (i) if a member, from the Board and board of directors of any Affiliate and any other board to which Executive has been appointed or nominated by or on behalf of the Employer, (ii) from each position with the any Company or any AffiliateGroup Member, including including, but not limited to, as an officer of the Company, the Bank, or any of their respective Affiliates and (iii) as a fiduciary director of any employee benefit plan of the EmployerCompany Group Member.

Upon If Executive’s termination of employment is terminated for any reason under this Agreementreason, then Executive shall be deemed to to, and shall, resign (i) if a member, from the Board and any board of directors of any Affiliate and any or other board governing body to which Executive he has been appointed or nominated by or on behalf of the EmployerCompany, and (ii) from each any position with the Company or any Affiliate, including as an officer of the Company, the Bank, SmartKem or any of their respective Affiliates and (iii) Affiliates, including, but not limited to, as a fiduciary of any employee benefit plan of the Employeran officer.
