Reputation. The Executive agrees not to engage in any act that is intended, or may reasonably by expected to harm the reputation, business, prospects or operations of the Company, its officers, directors, stockholders or employees. The Company further agrees that it will engage in no act which is intended, or may reasonably be expected to harm the reputation, business or prospects of the Executive.

This Agreement does not create a relationship between the parties of employer and employee, principal and agent, partnership or joint venturers. Neither party is liable for any act or omission of the other party. A party must not incur any liability on behalf of the other party nor in any way pledge or make any contract binding upon the other party without that other party’s prior written approval.
