If any of the following events occur, the Issuer, by notice to the Asset Representations Reviewer, may remove the Asset Representations Reviewer and terminate its rights and obligations under this Agreement: (i) the Asset Representations Reviewer no longer meets the eligibility requirements in Section 5.01; (ii) the Asset Representations Reviewer breaches of any of its representations, warranties, covenants or obligations in this Agreement; or (iii) an Insolvency Event of the Asset Representations Reviewer occurs.
