Repeated Pattern of Breaches. A pattern of breaches over time such that in combination, they constitute a significant failure by Company to perform its obligations hereunder.

Repeated Pattern of Breaches. Contractor has, in the sole but reasonable determination of the Authority, incurred a pattern of successive breaches, or related events of breach, that cumulatively indicates Contractor unwillingness or inability to timely, fully, and consistently perform Contractor Obligations throughout the Term.
Repeated Pattern of Breaches. MSS commits the same breach at least three (3) times during any twelve‐month period during the term of this Agreement.

  • Notification of Breach During the term of this Agreement:

  • Materiality and Waiver of Breach Each requirement, duty, and obligation set forth herein was bargained for at arm's-length and is agreed to by the Parties. Each requirement, duty, and obligation set forth herein is substantial and important to the formation of this Agreement, and each is, therefore, a material term hereof. County's failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision or modification of this Agreement. A waiver of any breach of a provision of this Agreement shall not be deemed a waiver of any subsequent breach and shall not be construed to be a modification of the terms of this Agreement.

  • Material Breach A material breach for purposes of this Agreement shall include, but not be limited to:

  • Data Breaches A. Upon the discovery by the Contractor of a confirmed breach of security that results in the unauthorized release, disclosure, or acquisition of student data, the Contractor shall provide initial notice to the Board as soon as reasonably possible, after such discovery (“Initial Notice”). The Initial Notice shall be delivered to the Board by electronic mail to Superintendent Xxxxxxx X. Xxxx, xxxxx@xxxxxxxxxxxx.xxx or to the contact currently on file and shall include the following information, to the extent known at the time of notification:

  • Termination for Material Breach A party may terminate this Agreement immediately upon notice to the other parties if any of the other parties materially breaches this Agreement, and if capable of cure, does not cure the breach within 10 days after receiving notice specifying the breach. If the material breach affects only certain Services, the non-breaching party that served the notice may choose to terminate only the affected Services.
