Common use of Reports by Issuer Clause in Contracts

Reports by Issuer. (a) The Issuer shall: (i) file with the Indenture Trustee, within 15 days after the Issuer is required to file the same with the Commission or any applicable state agencies, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which the Issuer may be required to file with the Commission pursuant to Section 13 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulation; (ii) file with the Indenture Trustee and the Commission or any applicable state agencies in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail to all Noteholders described in TIA ss. 313(c)) such summaries of any information, documents and reports required to be filed by the Issuer pursuant to clauses (i) and (ii) of this Section 7.3(a) as may be required by rules and regulations prescribed from time to time by the Commission or any applicable state agencies. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such year.

Reports by Issuer. (a) The Issuer shallwill: (i1) file with the Indenture Trustee, within 15 days after the Issuer is required to file the same with the Commission or any applicable state agenciesCommission, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which the Issuer may be required to file with the Commission pursuant to Section 13 or Section 15(d) of the Securities Exchange Act of 1934; or, if the Issuer is not required to file information, documents or any applicable state agencies reports pursuant to comparable regulation; (ii) either of such Sections, then it will file with the Indenture Trustee and the Commission or any applicable state agencies Commission, in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies Commission, such of the supplementary and periodic information, documents and reports which may be required pursuant to Section 13 of the Securities Exchange Act of 1934 in respect of a security listed and registered on a national securities exchange as may be prescribed from time to time in such rules and regulations; (2) file with the Trustee and the Commission, in accordance with rules and regulations prescribed from time to time by the Commission, such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii3) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail to all Noteholders described the Holders of Securities, within 30 days after the filing thereof with the Trustee, in the manner and to the extent provided in TIA ss. Section 313(c)) , such summaries of any information, documents and reports required to be filed by the Issuer pursuant to clauses paragraphs (i1) and (ii2) of this Section 7.3(a) as may be required by rules and regulations prescribed from time to time by the Commission or any applicable state agenciesCommission. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such year.

Reports by Issuer. (a) The Issuer shall: (i) so long as the Issuer or the Sponsor is required to file such documents with the SEC, provide to the Indenture Trustee, within 15 fifteen (15) days after the Issuer is required to file the same with the Commission or any applicable state agenciesSEC, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission SEC may from time to time by rules and regulations prescribe) which the Issuer or the Sponsor may be required to file with the Commission SEC pursuant to Section 13 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulationAct; (ii) provide to the Indenture Trustee, and file with the Indenture Trustee and the Commission or any applicable state agencies SEC, in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies SEC, such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail to all Noteholders Holders described in TIA ss. § 313(c)) such summaries of any information, documents and reports required to be filed by the Issuer pursuant to clauses (i) and (ii) of this Section 7.3(a7.03(a) as may be required by rules and regulations prescribed from time to time by the Commission or any applicable state agenciesSEC. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such each year.

Reports by Issuer. (a) The Servicer on behalf of the Issuer shall: (i) file with deliver to the Indenture TrusteeTrustee and the Notice Persons, within 15 days at least two (2) Business Days (if reasonably practical) after the date, if any, the Issuer is required to file the same with the Commission or any applicable state agenciesCommission, hard and electronic copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which the Issuer may be required to file with the Commission pursuant to Section 13 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulationAct; (ii) file with the Indenture Trustee and the Commission or any applicable state agencies in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies such additional information, documents and reports reports, if any, with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and; (iii) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail make available via its website to all Noteholders described in TIA ss. 313(c)Enhancement Providers and Noteholders) such summaries of any information, documents and reports required to be filed by the Issuer (if any) pursuant to clauses (i) and (ii) of this Section 7.3(a4.3(a) as may be required by rules and regulations prescribed from time to time by the Commission or Commission; and (iv) prepare and distribute any applicable state agenciesother reports required to be prepared by the Servicer under any Transaction Documents. Reports by Issuer. (a) The Issuer shall: (i) to the extent such reports, information and documents are not available electronically pursuant to EDGAR, file with the Indenture TrusteeXxustee and the Securities Administrator, within 15 days after the Issuer is required to file the same with the Commission or any applicable state agenciesCommission, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which that the Issuer may be required to file with the Commission pursuant to Section 13 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulationAct; (ii) file with the Indenture Trustee Trustee, the Securities Administrator and the Commission or any applicable state agencies in accordance with the rules and regulations prescribed from time to time by the Commission or any applicable state agencies such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii) supply to the Indenture Trustee and the Securities Administrator (and the Indenture Trustee Securities Administrator shall transmit by mail to all Noteholders described in TIA ss. Section 313(c)) such summaries of any information, documents and reports required to be filed by the Issuer pursuant to clauses (i) and (ii) of this Section 7.3(a) as may be required and by rules and regulations prescribed from time to time by the Commission or any applicable state agenciesCommission. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such correspond to the calendar year.

Reports by Issuer. Reports by Issuer. (a) The Issuer shall: (i) file with the Indenture Trustee, within 15 days after the Issuer is required to file the same with the Commission or any applicable state agenciesCommission, copies of the annual reports and of the information, documents and other reports including any certifications required to be filed with Form 10-K by the Xxxxxxxx-Xxxxx Act of 2002 (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which that the Issuer may be required to file with the Commission pursuant to Section 13 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulationAct; (ii) file with the Indenture Trustee and the Commission or any applicable state agencies Commission, in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies Commission, such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail to all Noteholders described in TIA ss. Reports by Issuer. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such each year.

Reports by Issuer. (a) The Issuer shall: (i) file with the Indenture Trustee, within 15 fifteen (15) days after the Issuer is required to file the same with the Commission or any applicable state agencies, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) which the Issuer may be required to file with the Commission pursuant to Section 13 12 or 15(d) of the Exchange Act or any applicable state agencies pursuant to comparable regulation; (ii) file with the Indenture Trustee and the Commission or any applicable state agencies in accordance with rules and regulations prescribed from time to time by the Commission or any applicable state agencies such additional information, documents and reports with respect to compliance by the Issuer with the conditions and covenants of this Indenture as may be required from time to time by such rules and regulations; and (iii) supply to the Indenture Trustee (and the Indenture Trustee shall transmit by mail to all Noteholders described in TIA ss. § 313(c)) such summaries of any information, documents and reports required to be filed by the Issuer pursuant to clauses (i) and (ii) of this Section 7.3(a) as may be required by rules and regulations prescribed from time to time by the Commission or any applicable state agencies. (b) Unless the Issuer otherwise determines, the fiscal year of the Issuer shall end on December 31 of such year.
