Reports by Tenant. Tenant shall furnish to Landlord within thirty (30) days after the expiration of each quarter-annual period of each lease year a complete statement ("quarterly report"), certified by Tenant, of the amount of Gross Sales, as defined in Article II, Section 2.03 of this Lease, made in, on or from the leased premises during said period. Failure of Tenant to timely submit quarterly reports as aforesaid shall entitle Landlord to estimate Gross Sales based upon available data (with a reconciliation upon receipt of the annual report), and Tenant shall be obligated to pay percentage rent, as set forth in Section 2.02, on such estimated Gross Sales. Tenant also agrees that it will furnish to Landlord within thirty (30) days after the expiration of each full lease year a complete statement, certified by ~. showing in all reasonable detail the amount of such Gross Sales made by Tenant from the leased premises during the preceding lease year. Reports by Tenant. Within ten (10) days after the end of each calendar month, or portion thereof, during the term of this Lease, Tenant shall furnish to Landlord within thirty (30) days after the expiration of each quarter-annual period of each lease year a complete written statement ("quarterly report"), certified by Tenant, of setting forth the amount of Gross Sales, as defined in Article II, Section 2.03 Receipts and an itemization of this Lease, made in, on any deductions or from the leased premises during said period. Failure of Tenant to timely submit quarterly reports as aforesaid shall entitle Landlord to estimate Gross Sales based upon available data (with a reconciliation upon receipt of the annual report), and Tenant shall be obligated to pay percentage rent, as set forth in Section 2.02, on exclusions therefrom for such estimated Gross Salesprevious month. Tenant also agrees that it will furnish to Landlord within thirty (30) days after the expiration end of each full lease year a complete Lease Year or Partial Lease Year, an annual statement, certified by ~. showing in all reasonable detail the amount of Gross Receipts and an itemization of any deductions or exclusions therefrom relating to such Gross Sales made Lease Year or Partial Lease Year and the amount of Percentage Rent due Landlord. Each monthly and annual statement required by this Section 3.05 shall be certified by Tenant from or one of Tenant's executive officers and shall be subject to further certification as provided in Section 3.07. In the leased premises during event Tenant fails to furnish Landlord with a monthly or annual statement within the preceding lease required time period and in the manner set forth in this Section 3.05, then the Gross Receipts for such month or year. , as the case may be, shall, at Landlord's option, be deemed to be equal to Tenant's highest previously reported monthly or annual Gross Receipts, and Tenant shall pay to Landlord, as liquidated damages, the sum of One Hundred and 00/100 Dollars ($100.00) per month until such statement is received. In addition, if Tenant is delinquent in all events furnish to furnishing Landlord with monthly statements of Gross Receipts for two (2) consecutive months or is delinquent in furnishing Landlord the annual statement of Gross Receipts, any subsequent audit the Landlord conducts shall be at Tenant's expense. In addition, if Tenant is delinquent in furnishing Landlord with Tenant's annual statement of Gross Receipts within fi~\1/4~ninety (90) days after following the end of each month any Lease Year, Landlord shall have the right, at its option, to terminate this Lease upon thirty (30) days' written notice to Tenant whereupon at the expiration of such thirty (30) day period, the term of this Lease a written statement of Gross Sales covering shall expire as fully and completely as if such early termination date were the preceding month, the statement to be in such form and style and contain such details and breakdown as the Landlord may reasonably require. Tenant shall require and cause all its concessionaires, if any, to furnish statements at the times and in the form and content specified in this Section, relating to their operations within the leased premises. All reports of Gross Sales submitted or caused to be submitted by Tenant to Landlord shall be conclusive and binding upon Tenant unless such reports are corrected within two (2) years after the original expiration date of issuance.
