Reports by U.S. Trustee. The U.S. Trustee shall transmit to Holders such reports concerning the U.S. Trustee and its actions under this Indenture as may be required pursuant to the Trust Indenture Legislation at the times and in the manner provided pursuant thereto. If required by Section 313(a) of the Trust Indenture Act, the U.S. Trustee shall, within 60 days after each May 15 following the date of this Indenture, deliver to Holders a brief report, dated as of May 15, which complies with the provisions of Section 313(a) of the Trust Indenture Act. A copy of each such report shall, at the time of such transmission to Holders, be filed by the U.S. Trustee with each stock exchange upon which any Securities of any series are listed, if applicable. The Corporation will promptly notify the U.S. Trustee when any Securities are listed on any stock exchange.

Reports by U.S. Trustee. As promptly as practicable after each January 1 beginning with the January 1 following the date of this Indenture, and in any event prior to February 15 in each year, the U.S. Trustee shall send to each Holder a brief report dated as of January 1 that complies with Section 313(a) of the Trust Indenture Act. The Trustees also shall comply with Section 313(b) of the Trust Indenture Act. Reports pursuant to this Section 5.04 shall be sent by the U.S. Trustee in accordance with Section 313(c), including: (a) to all Holders, as the names and addresses of such Holders appear in the Debt Security Register; and (b) except in the cases of reports under Section 313(b)(2) of the Trust Indenture Act, to each Holder of a Debt Security of any series whose name and address appear in the information preserved at the time by the Trustees in accordance with Section 5.02. A copy of each report at the time that it is sent to Holders shall be filed with the SEC and each stock exchange (if any) on which the Debt Securities of any series are listed. The Company agrees to notify the Trustees whenever the Debt Securities of any series become listed on any stock exchange and of any delisting thereof.
