REPRESENTATION AND WARRANTIES OF THE TRUST. The Trust represents and warrants to the Acquiring Fund that it will provide the Acquiring Fund with a copy of any amendments to the Order, that it will comply with the terms and conditions of the Order with respect to the Acquiring Fund, and that it will promptly notify the Acquiring Fund if it fails to comply with the Order with respect to the Acquiring Fund.

The Trust will provide TST with any amendments to the Order.
