Representation and Warranties re Status. (a) Resources represents and warrants to Genpharm that neither it nor any of its Affiliates is prohibited by any law, rules or regulation or by any order, directive or policy from selling any of the Products (assuming that the Product Approvals have been obtained) or other pharmaceutical products within the Territory and that neither Resources nor any of its Affiliates is a Person who is listed by a United States federal agency as debarred, suspended, proposed for debarment or otherwise ineligible for federal programs in the United States or other jurisdictions within the Territory (an "Ineligible Person").
