REPRESENTATION OF CITY. The CITY represents that this Agreement has been duly authorized, executed and delivered by the City Commission of the City of South Miami, as the governing body of the CITY and it has the required power and authority to perform this Agreement and has granted the CITY Manager or the CITY Manager's Designee the required power and authority to perform this Agreement.
REPRESENTATION OF CITY. The City represents that, to the best of the City’s knowledge, the Facility is not in violation of any order or decree of any court of competent jurisdiction or any governmental agency having jurisdiction, and that there are no pending or threatened judicial or administrative proceedings which, if determined adversely to the interests of the City, could materially affect the contemplated development or use of the Facility or expansion of the Facility as set forth in this Expansion Agreement.
REPRESENTATION OF CITY. CITY hereby represents and warrants to VENUWORKS, as an inducement to VENUWORKS entering into this Agreement; (1) that it is CITY'S intent that the Facility will be permitted to be open to the paying public on a daily basis in a manner consistent with industry practices, and (2) that CITY possesses the resources and financial capabilities to ensure the on‐going financial support of the Facility operation.
