Representations and Warranties of APDCL. APDCL represents and warrants to the Solar Power Developer that: a) APDCL has full power and authority to enter into this Agreement and has taken all necessary action to authorize the execution, delivery and performance of this Agreement; and b) This Agreement constitutes APDCL's legal, valid and binding obligation enforceable against it in accordance with the terms hereof.
