Representations and Warranties of AT. AT has all requisite power and authority, corporate or otherwise, to enter into this Agreement and consummate the transactions contemplated by this Agreement. This Agreement (a) has been duly executed by AT, (b) has been delivered to the Company by AT, and (c) constitutes a legal, valid and binding obligation of AT in accordance with its terms, subject to bankruptcy, insolvency, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors’ rights generally and to general principles of equity.
