REPRESENTATIONS AND WARRANTIES OF BIOKEY. BioKey hereby represents and warrants to Parent, BioLite, and each Merger Sub that, except as set forth on the BioKey Schedule of Exceptions delivered by BioKey to the Parent, BioLite, and each Merger Sub prior to the execution of this Agreement and thereafter prior to Closing (the “BioKey Schedule of Exceptions”), it being understood that a disclosure in any section of the BioKey Schedule of Exceptions shall be deemed to have been set forth in all other applicable sections of the BioKey Schedule of Exceptions where it is readily apparent on the face of the disclosure that such disclosure is applicable to such other sections, notwithstanding the omission of any cross reference to such other section; and it being further understood that the BioKey Schedule of Exceptions will be updated from time to time for events that occur between execution of this Agreement and Closing and a final copy of the BioKey Schedule of Exceptions will be delivered to Parent, BioLite, and each Merger Sub prior to the Closing:
