REPRESENTATIONS AND WARRANTIES OF COMPANIES. Companies hereby represent and warrant to Parent as follows:
REPRESENTATIONS AND WARRANTIES OF COMPANIES. Subject to the exceptions set forth on the document annexed hereto, executed by the Parties and identified as the “Company Schedule” (the “Company Schedule”), and except as provided therein, each of the Companies hereby jointly and severally represents and warrants to LTFS as follows:
REPRESENTATIONS AND WARRANTIES OF COMPANIES. The representations and warranties of the Companies set forth in this Agreement shall be true and correct as of the date of this Agreement and as of the Closing Date as though made on and as of the Closing Date, except: (i) as otherwise contemplated by this Agreement, or (ii) in respects that do not have a Material Adverse Effect on the Companies' Business Condition or on the benefits of the transactions provided for in this Agreement. Parent shall have received a certificate signed on behalf of each Company by an authorized officer of such Company to such effect on the Closing Date.
REPRESENTATIONS AND WARRANTIES OF COMPANIES. To induce the Lenders to enter into this Agreement and complete the Transactions, the Companies jointly and severally represent and warrant, as to themselves and their Subsidiaries (as appropriate), to the Lenders that (as of the Closing Date and after giving effect to the InStaff Purchase Transaction, but subject to the information set forth on the Schedules hereto):

Each of the Companies, jointly and severally, represents and warrants to the Buyer as of the date hereof and as of the Closing Date (except for representations and warranties that speak as of a specific date or time, which shall speak only as of such date or time) as follows (except that any representation or warranty that relies on or refers to information in any Disclosure Schedules which are not delivered on the date hereof shall be made as of the Schedule Date and as of the Closing Date):

The Company Disclosure Schedule shall be arranged in sections corresponding to the numbered and lettered sections contained in

Each Company hereby represents and warrants to each other Company that the statements contained in this Article III are true and correct with respect to it, except as set forth herein or in the disclosure schedule attached by such Company to this Agreement (for each respective Company, the "Company Disclosure Schedule"). The Company Disclosure Schedule shall be arranged in sections corresponding to the numbered and lettered sections contained in this Article III, and the disclosure in any section shall qualify other sections in this Article III only the extent that it is reasonably apparent from a reading of such disclosure that it also qualifies or applies to such other sections. For the purposes of this Article III, all references to a Company shall include such Company and its Subsidiaries, and all representations and warranties about a Company shall be construed as representations and warranties about each of its Subsidiaries as well, unless the context requires otherwise (including, by way of example, Section 3.7(c) hereof).
