REPRESENTATIONS AND WARRANTIES OF COMPASS. Compass hereby makes the following representations and warranties to UFF, each of which Compass represents to be true and correct on the date hereof, shall remain true and correct to and including the Effective Date, shall be unaffected by any investigation heretofore or hereafter made by UFF, or any knowledge of UFF other than as specifically disclosed in the disclosure schedules delivered to UFF, and shall survive the Closing of the transactions provided for herein for a period of twelve (12) months. Notwithstanding anything herein to the contrary, if UFF, by written notice prior to the expiration of the said twelve (12) month period, advises Compass of any question, dispute, debate, variance or contention relative to any specific representation or warranty of Compass such survival period shall be extended until such time as the matter in question is resolved.
