Except as otherwise set forth in the "Concept Disclosure Schedule," referencing the appropriate section and paragraph numbers, to be provided to Xxxxxxx prior to the Closing Date, Concept represents and warrants to Xxxxxxx as set forth below. No fact or circumstance disclosed to Xxxxxxx by Concept shall constitute an exception to these representations and warranties unless such fact or circumstance is set forth in the Concept Disclosure Schedule.
