Bank Accounts and Receivables. Section 3.11 of the Target Disclosure Schedule sets forth the names and locations of all banks, trust companies, savings and loan associations, and other financial institutions at which Target maintains accounts of any nature and the names of all persons authorized to draw thereon or make withdrawals therefrom. Section 3.11 of the Target Disclosure Schedule sets forth an accurate and complete breakdown and aging of all accounts receivable, notes receivable, and other receivables of Target as of the date of the Target Balance Sheet. Except as set forth on the Target Disclosure Schedule, all existing accounts receivable of Target (including those accounts receivable reflected on the Target Financial Statements that have not yet been collected and those accounts receivable that have arisen since September 30, 1999 and have not yet been collected) (i) represent valid obligations of customers of Target arising from bona fide transactions entered into in the ordinary course of business, and (ii) will, to the knowledge of Target, be collected in full when due, without any counterclaim or setoff, net of allowances therefor included in the Target Balance Sheet.

As of the date hereof NSA has no, and as of the Closing Date NSA will not have any, accounts receivable.
