REPRESENTATIONS AND WARRANTIES OF CONTRIBUTOR RELATING TO THE CORPORATION AND ITS SUBSIDIARIES. Except as (i) disclosed in the Current FMO SEC Documents (other than any disclosures set forth in any risk factor section or in any section relating to forward-looking statements, and any other disclosures included therein to the extent they are forward-looking in nature, whether or not appearing in such sections), (ii) disclosed in the FMO Bankruptcy Plan and (iii) set forth on the Corporation disclosure schedule delivered by Contributor to IEP concurrently with the execution and delivery of this Agreement (the “Corporation Disclosure Schedule”), Contributor hereby makes the following representations and warranties contained in this Article III to IEP. The Corporation Disclosure Schedule is arranged and numbered to correspond to the numbered and lettered paragraphs contained in this Article III. Unless otherwise specified herein, disclosure made in any particular Section of the Corporation Disclosure Schedule shall be deemed made in any other Section or Sections of the Corporation Disclosure Schedule to which the relevance of such disclosure is readily apparent on its face from the text of such disclosure. Notwithstanding anything to the contrary in this Agreement or the Corporation Disclosure Schedule, each of the representations and warranties contained in this Article III shall be deemed to be qualified in its entirety as to the Knowledge of Contributor (such qualification shall be referred to herein as the “General Knowledge Qualifier”; provided, however, that the express use of the word “Knowledge” contained in Sections 3.8(a), 3.8(b), 3.8(g), 3.9, 3.10, 3.12, 3.15(a), 3.16(a), 3.16(b), 3.16(c) and 3.17(b) hereof shall, in each instance, be deemed not to be part of the General Knowledge Qualifier).
