Representations and Warranties of First Solar. (a) The FS Specified Representations and the representations contained in Section 4.27 shall be true and correct in all respects, in each case as of the Closing Date (except to the extent made as of a particular date, in which case such FS Specified Representation shall have been true and correct as of such date), except as otherwise affected by any action of SunPower not in accordance with this Agreement or any breach by SunPower of its representations and warranties or undertakings hereunder.
