As a material inducement to BPFH and Acquisition Corp. to enter into this Agreement and to consummate the transactions contemplated hereby, FSB hereby makes to BPFH and Acquisition Corp. the representations and warranties contained in this Article III, except, with respect to any Section of this Article III, as set forth in the corresponding Section of the Disclosure Schedule delivered by FSB to BPFH and Acquisition Corp. concurrently herewith (the "FSB Disclosure Schedule").

On or prior to the date hereof, FSB has delivered to THSB a schedule (the “FSB Disclosure Schedule”) setting forth, among other things, items the disclosure of which is necessary or appropriate either in response to an express disclosure requirement contained in a provision hereof or as an exception to one or more representations or warranties contained in this Article II or to one or more of its covenants contained in Article IV.

(a) Organization, Standing and Power. FSB is a Michigan chartered commercial bank duly organized, validly existing and in good standing under the laws of the State of Michigan. FSB has all requisite power and authority to own, lease and operate its properties and to carry on its business as now being conducted. The deposits of FSB are insured by the FDIC to the fullest extent permitted by law, and all premiums and assessments required to be paid in connection therewith have been paid when due.
