IDF and Mergerco hereby jointly and severally represent and warrant to AUGI, as follows, it being understood and agreed that (i) unless the context otherwise indicates, all references in this Article 5 to IDF includes IDF and its consolidated direct and indirect Subsidiaries, including H-W; and (ii) neither AUGI nor TechStar is or will be required to undertake any independent investigation to determine the truth, accuracy and completeness of the representations and warranties made by IDF or Mergerco in this Agreement:
