Representations and Warranties of MMM to be True. The representations and warranties of MMM herein contained shall be true in all material respects at the Effective Date or as soon as practicable thereafter with the same effect as though made at such time, except to the extent waived hereunder or affected by the schedules delivered hereunder; MMM shall have performed in all material respects all obligations and complied in all material respects with all covenants and conditions required by this Agreement to be performed or complied with by it; and MMM shall have delivered to GLNC a certificate of MMM in form and substance satisfactory to GLNC dated the Effective Date or as soon as practicable thereafter and signed by its principal financial officer, to all such effects.
