REPRESENTATIONS AND WARRANTIES OF NORTH COUNTRY. North Country and the Principal Shareholder hereby represent and warrant, jointly and severally, to SVCC, as of the date of this Agreement and as of the Effective Time (except as otherwise indicated), as follows:
REPRESENTATIONS AND WARRANTIES OF NORTH COUNTRY. North Country represents and warrants to NCFC Recapitalization and each of the Investors that the statements contained in this Section 5.1 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date was substituted for the date of this Agreement throughout this Section), except (i) as set forth in the North Country Disclosure Schedule and (ii) as to statements made on the Closing Date only, for any changes to the North Country Disclosure Schedule in accordance with Section 3.3(b).
