Representations and Warranties of Novartis. Novartis represents and warrants to Hybridon that this License Agreement has been duly executed and delivered by Novartis and constitutes the valid and binding obligation of Novartis, enforceable against Novartis in accordance with its terms except as enforceability may be limited by fraudulent conveyance, insolvency, bankruptcy, reorganization, moratorium and other laws relating to or affecting creditors' rights generally and by general equitable principles. The execution, delivery and performance of this License Agreement have been duly authorized by all necessary action on the part of Novartis, its officers and directors. No provision of this License Agreement violates any other agreement that Novartis may have with any other person or company, and Novartis acknowledges that Hybridon has relied on that representation in entering into this License Agreement.
