Representations and Warranties of Original Lenders. (a) Each of the Assigning Lenders represents and warrants, as of the Effective Date, to the Continuing Lenders that it is the beneficial and record owner of the Assigned Continuing Loans to be assigned by it as contemplated by Section 1.02; and that it has not sold, transferred or created any participating interest in or lien upon such Assigned Continuing Loans (except participating interests which will terminate upon the assignment provided for in Section 1.02).
