REPRESENTATIONS AND WARRANTIES OF PARENT, SELLER AND THE COMPANY. Each of Parent, Seller and the Company, jointly and severally, hereby represents and warrants to Buyer (and, in the case of the Seller's representation in Section 2.26 only, Seller represents and warrants to the Company) as follows:
REPRESENTATIONS AND WARRANTIES OF PARENT, SELLER AND THE COMPANY. The representations and warranties of Parent, Seller and the Company contained herein shall be true and correct as of the Closing Date as though made on the Closing Date (without regard to any materiality or Material Adverse Effect qualifiers set forth therein), except to the extent such representations and warranties by their terms speak as of an earlier date, in which case they shall be true and correct as of such earlier date (without regard to any materiality or Material Adverse Effect qualifiers set forth therein), except in each case to the extent that the failure of such representations and warranties to be true and correct, individually or in the aggregate, has not had and would not reasonably be expected to have a Material Adverse Effect.
