REPRESENTATIONS AND WARRANTIES OF PURCHASER TO BE TRUE. The representations and warranties of Purchaser herein contained shall be true, complete and correct in all material respects at the Closing Date with the same effect as though made at Closing (except insofar as such representations and warranties are given as of a particular date) except to the extent waived hereunder or affected by the transactions contemplated or permitted herein.
REPRESENTATIONS AND WARRANTIES OF PURCHASER TO BE TRUE. The representations and warranties of Purchaser contained in this Agreement shall be true and correct in all material respects on the Closing Date with the same effect as though made at such time. Purchaser shall have performed all material obligations and complied with all material covenants required by this Agreement and the other agreements referred to herein to be performed or complied with by it prior to the Closing Date.
REPRESENTATIONS AND WARRANTIES OF PURCHASER TO BE TRUE. The ------------------------------------------------------ representations and warranties of Purchaser (contained in this Agreement, any Exhibit or Schedule hereto, or any certificate, instrument or other writing delivered to Biofluids or its representatives by Purchaser, or any of its representatives) shall be true and correct on the Closing Date with the same force and effect as though made on and as of the Closing Date (i.e., with ---- respect to a representation that a state of facts exists on or as of the date hereof, it is a condition that such state of facts exists on or as of the Closing Date, and with respect to a representation that a state of facts has or has not changed between a date prior to the date hereof and the date hereof, it is a condition that such state of facts has or has not changed between such prior date and the Closing Date), except as affected by transactions contemplated hereby and thereby and except that any such representation or warranty made as of a specified date (other than the date of this Agreement) shall only need to have been true on and as of such date. Purchaser shall have performed all obligations and complied with all covenants required by this Agreement to be performed or complied with by Purchaser on or prior to the Closing Date.

Purchaser shall have performed all obligations and complied with all covenants required by this Agreement, and the other agreements referred to herein, to be performed or complied with by it prior to the Closing.
