REPRESENTATIONS AND WARRANTIES
OF SELLER AND HJ MEMBERS. Except as set forth in the disclosure schedules delivered by Seller and the HJ Members to Purchaser on the Execution Date, and as updated on the Closing Date (the “Seller Disclosure Schedules”), to induce Purchaser to enter into this Agreement, Seller and the HJ Members hereby represent and warrant to Purchaser that the statements contained in this Article VI are true and correct as of the Execution Date (or, if otherwise provided with respect to a specific representation or warranty, on such date provided therein). Seller and the HJ Members shall confirm on the Closing Date that each of these representations and warranties remain true, as if such representations and warranties were made on the Closing Date. All representations and warranties set forth in this ARTICLE VI shall be without regard to Seller’s Knowledge unless expressly limited to Seller’s Knowledge, and all representations and warranties set forth in this ARTICLE VI shall be limited to the best of HJ Members’ Knowledge, after due investigation.
