REPRESENTATIONS AND WARRANTIES OF SELLER AND SELLER'S PARENT. Seller, in respect of all of the representations and warranties made in this Article III, and Seller’s Parent, in respect of the representations and warranties concerning Seller’s Parent set forth in Sections 3.1, 3.2, 3.4, 3.5 and 3.23, represent and warrant to Buyer as of the Disclosure Schedule Delivery Date as follows, subject to such exceptions as are disclosed in the Seller Disclosure Schedule:

REPRESENTATIONS AND WARRANTIES OF SELLER AND SELLER'S PARENT. In order to induce Buyer to enter into this Agreement, (a) Seller represents and warrants to Buyer that the Seller's Representations and Warranties in this ARTICLE 4 are correct and complete as of the date of this Agreement and will be correct and complete on the Closing Date (as though made then and as though the Closing Date were substituted throughout this ARTICLE 4, except where a specific date is indicated), and (b) Seller's Parent represents and warrants to Buyer that the Seller's Parent's Representations and Warranties in this ARTICLE 4 are correct and complete as of the date of this Agreement and will be correct and complete on the Closing Date (as though made then and as though the Closing Date were substituted throughout this ARTICLE 4, except where a specific date is indicated).
