Government Contracting Audits. Schedule 3.36 sets forth a list and description of each open audit or investigation report, or in the absence thereof, a draft thereof, received by any PRC Company by any Governmental Entity (other than routine audits by resident auditors, none of which is material to the business or prospects of the business of the PRC Companies), which pertains to any Government Contract and which has resulted in an allegation or a notice of violation of any applicable Law or Government Contract or of any violation of or deficiency in company policies or procedures by any PRC Company, and which has not been closed or otherwise resolved. Government Contracting Audits. (a) Section 4.25(a) of the Company Disclosure Schedule sets forth a list and description of each final audit or investigation, or in the absence thereof, a draft thereof, received by the Company and its subsidiaries since January 1, 1996 any performed by or for any prime or higher-tiered contractor or subcontractor, or Governmental Entity, including the Defense Contract Audit Agency, the Defense Contract Management Command, Defense Contract Administrative Service Management Area, the Defense Criminal Investigative Service, any governmental procurement agencies under the supervision of the Secretary of Defense, any investigative agency, any Inspector General, the Department of Justice, or the General Accounting Office (other than routine audits by resident auditors, none of which is material to the business of the Company and its subsidiaries, taken as a whole). Section 4.25(a) of the Company Disclosure Schedule also briefly describes the current status of such matters.
