REPRESENTATIONS AND WARRANTIES OF SELLER AND SOLE SHAREHOLDER. Sole Shareholder (to his knowledge) and Seller, jointly and severally, make the following representations and warranties to Buyer, each of which is true and correct on the date hereof, shall remain true and correct to and including the Closing Date and shall be unaffected by any investigation heretofore or hereafter made by Buyer, or any knowledge of Buyer other than as specifically disclosed in the Disclosure Schedule and all schedules (and accompanying documentation) delivered by Seller to Buyer at the time of the execution of this Agreement (the "DISCLOSURE SCHEDULE").
