Representations and Warranties of Seller; Covenants of Seller. 4.1 Seller represents and warrants that Seller is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and has full power and authority to carry on its business as it is now being conducted and to own the properties and assets it now owns. The copy of the Certificate of Incorporation of Seller dated September 18, 1992 and amended on October 26, 1992, heretofore delivered to Purchaser (the "Certificate of Incorporation") is a complete and correct copy of such instrument as in effect prior to the filing of the Certificate of Amendment.
