REPRESENTATIONS AND WARRANTIES OF SELLERS CONCERNING THE TRANSACTIONS. The Sellers hereby jointly and severally represent and warrant to Purchaser that the statements contained in this Article IV are true and correct as of the Effective Date, and will be true and correct as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Article IV, except to the extent that such statements expressly relate to an earlier time or date, in which case such statement shall be true and correct as of such earlier time or date), except as set forth in the Disclosure Schedule, which Disclosure Schedule shall be construed in accordance with Section 18.11.
