REPRESENTATIONS AND WARRANTIES OF SMP. SMP hereby represents and warrants to SBES, subject to the exceptions and qualifications specifically set forth or disclosed in writing in the disclosure schedule delivered by SMP and the Member to SBES simultaneously herewith (the "SMP DISCLOSURE SCHEDULE") that the statements contained in this ARTICLE IV are correct and complete as of the date of this Agreement and as of the Closing Date (except where another date or period of time is specifically stated herein for a representation or warranty).

REPRESENTATIONS AND WARRANTIES OF SMP. SMP represents and warrants to Moog that the statements contained in this Article V are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Article V, except to the extent any representation or warranty relates to a specific date).
