Representations and Warranties of SunPower. (a) The SP Specified Representations and the representations contained in Section 5.27 shall be true and correct in all respects, in each case as of the Closing Date (except to the extent made as of a particular date, in which case such SP Specified Representation shall have been true and correct as of such date), except as otherwise affected by any action of First Solar not in accordance with this Agreement or any breach by First Solar of its representations and warranties or undertakings hereunder.
