The Trust and the Advisor agree that they will not use any such material without the prior consent of the Sub-Advisor, which consent shall not be unreasonably withheld. In the event of the termination of this Agreement, the Trust and the Advisor will furnish to the Sub-Advisor copies of any of the above-mentioned materials that refer or relate in any way to the Sub-Advisor. The Trust and Advisor will be deemed to have furnished the foregoing documents by directing the Sub-Advisor to the appropriate internet address or by sending documents as attachments to electronic mail messages sent to the Sub-Advisor. The Trust and the Advisor will furnish to the Sub-Advisor such information relating to either of them or the business affairs of the Trust as the Sub-Advisor shall from time to time reasonably request in order to discharge its obligations hereunder. The Advisor and the Trust agree that neither the Trust, the Advisor, nor affiliated persons of the Trust or the Advisor shall give any information or make any representations or statements in connection with the sale of shares of the Series concerning the Sub-Advisor or the Series other than the information or representations contained in the Registration Statement, prospectus, or statement of additional information for the Trust, as they may be amended or supplemented from time to time, and reviewed and agreed to by the Sub-Advisor, or in reports or proxy statements for the Trust, or in sales literature or other promotional material approved in advance by the Sub-Advisor, except with the prior approval of the Sub-Advisor. Representations and Warranties of the Advisor. The Advisor represents and warrants to the Sub-Advisor and the Trust as follows:
(a) The Advisor is registered as an investment adviser under the Advisers Act;
(b) The Advisor is a corporation duly organized and validly existing under the laws of the State of Delaware, California with the power to own and possess its assets and carry on its business as it is now being conducted;
(c) The execution, delivery and performance by the Advisor of this Agreement are within the Advisor’s 's powers and have been duly authorized by all necessary action on the part of its Board of Directors, and no action by or in respect of, or filing with, any governmental body, agency or official is required on the part of the Advisor for the execution, delivery and performance by the Advisor of this Agreement, and the execution, delivery and performance by the Advisor of this Agreement do not contravene or constitute a default under (i) any provision of applicable law, rule or regulation; , (ii) the Advisor’s 's governing instruments; , or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Advisor;
(d) The Form ADV of the Advisor as provided to the Sub-Advisor is a true and complete copy of the form as currently filed with the SEC and the information contained therein is accurate and complete in all material respects and does not omit to state any material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading;
(e) The Advisor shall provide to the Sub-Advisor a complete copy of each amendment to its for ADV.
(f) The Advisor acknowledges that it received a copy of the Sub-Advisor’s 's Form ADV (a copy of which is attached as Exhibit B) prior to the execution of this Agreement;; and
(eg) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and
(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally.

(fg) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “"market timing,” " (a copy of which, as it may be amended, shall be provided by the Advisor to the Sub-Advisor) and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally.

(e) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized that the Advisor to enter into this Agreement; and
has complied with the requirements of Rule 17j-1 and Rule 204A-1 (f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time) during the previous quarter and that there have been no violations of the Advisor’s code of ethics or, if any material violation(s) of the Advisor’s code of ethics has occurred, that appropriate action has been taken in response to such violation. Upon written request of the Trust, the Advisor shall permit representatives of the Trust to examine the reports (or summaries of the reports) required to be made to the Advisor by Rule 17j-1(c)(1) and other records evidencing enforcement of the code of ethics;

The Advisor will promptly provide the Sub-Advisor with a complete copy of all subsequent amendments to Part 2 of its Form ADV;
(g) The Advisor and the Trust Fund have duly entered into the Advisory Agreement pursuant to which the Trust Fund authorized the Advisor to enter into this Agreement; and

(i) to the best of the Advisor’s knowledge and information, the Registration Materials, other than information provided pursuant to Par. 7(e) above, do not contain any untrue statement of a material fact or omit to state any material fact required by any applicable law to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading under applicable law.

(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally;
(g) The Advisor will provide copies of each Fund’s registration statement on Form N-1A and any amendments thereto, annual and semi-annual reports, any shareholder proxy or information statements, advertisements, sales literature or other material relating to each Fund to the Sub-Advisor promptly upon filing; provided that: (i) if such documents contain any material statement about the Sub-Advisor or reflect any material amendment or revision to any material statement about the Sub-Advisor, then the Advisor will afford the Sub-Advisor with a reasonable opportunity to review such materials statements, amendments or revisions. The Advisor will provide copies of any policies and procedures adopted by the Funds (and any amendments and supplements thereto) that the Funds and/or the Advisor expect the Sub-Advisor to apply with respect to the Sub-Advisor Assets, including but not limited to, procedures pursuant to Rules 17e-1, 17a-7, 10f-3 and 12d3-1 under the 1940 Act;
(h) The Advisor has met or will seek to continue to meet for so long as this Agreement remains in effect, any applicable federal or state requirements, or the applicable requirements of any regulatory or industry self-regulatory agency necessary to be met in order to perform the services contemplated by this Agreement;
(i) The Advisor has adopted and implemented a written code of ethics complying with the requirements of Rule 17j-1 under the 1940 Act and has provided the Trust with a copy of such code of ethics and any amendments thereto;
(j) The Advisor has adopted and implemented written policies and procedures, as required under Rule 206(4)-7 under the Advisers Act, which are reasonably designed to prevent violations of federal securities laws by the Advisor, its employees, officers and agents (“Compliance Procedures”) and the Trust has been provided a copy of the Compliance Procedures (or summaries thereto) and will be provided with any future amendments thereto;
(k) This Agreement has been properly approved according to applicable laws, rules and regulations by the respective shareholders of each Fund (except as such vote may be unnecessary pursuant to relief granted by an exemptive order from the SEC), the Board and those Trustees of the Trust who are not parties to this Agreement or interested persons of any such party;
(l) The Trust has filed, or the Advisor has filed on the Trust’s behalf, a notice of eligibility with the National Futures Association for an exclusion from the definition of the term “commodity pool operator” with respect to each Fund pursuant to Commodity Futures Trading Commission Rule 4.5; and

(h) Each Fund is a “qualified eligible person” (“QEP”) as defined in Commodity Futures Trading Commission Rule 4.7 (“CFTC Rule 4.7”), and the Advisor will promptly notify the Sub-Advisor if a Fund ceases to be a QEP, and hereby consents for each Fund to be treated as an “exempt account” under CFTC Rule 4.7; and
(i) The Sub-Advisor Assets are free from all liens and charges, and the Advisor undertakes that no liens or charges will arise from the acts or omissions of the Advisor which may prevent the Sub-Advisor from giving a first priority lien or charge on the assets solely in connection with the Sub-Advisor’s authority to direct the deposit of margin or collateral to the extent necessary to meet the obligations of a Fund with respect to any investments made for the Fund.

(g) The Advisor and the Trust Fund have duly entered into the Advisory Agreement pursuant to which the Trust Fund authorized the Advisor to enter into this Agreement; and

(h) The Advisor: (i) is a member of the National Futures Association (“NFA”) and is registered under the Commodity Exchange Act (“CEA”) as a commodity pool operator, commodity trading adviser, futures commission merchant, introducing broker, and/or retail foreign exchange dealer; or (ii) is exempt from registration under the CEA and has made any necessary filings with the NFA in order to avail itself of such exemption; or (iii) is not required to be a member of the NFA or to be registered under the CEA.
(i) Under any ISDA Master Agreement and Credit Support Annex entered by the Sub-Advisor as agent for the Advisor, to the best of its knowledge, information and belief, no event of default or termination event has occurred in respect of the Advisor or the Fund, and no event has occurred in relation to any of them which, with the passage of time and/or the giving of notice, is likely to become an event of default or termination event thereunder, and each of them can give the representations thereunder.
(j) The relevant Fund(s) are, as at the date of this Agreement, below the thresholds for mandatory exchange of initial margin under the European Markets Infrastructure Regulation (EMIR) and The Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act. The Advisor undertakes to notify the Sub-Advisor in writing if any relevant Fund breaches, or is likely to breach, one or more of these thresholds after the date of this Agreement.

(e) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized that the Advisor to enter into this Agreement; and
has complied with the requirements of Rule 17j-1 and Rule 204A-1 (f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time) during the previous quarter and that there have been no violations of the Advisor’s code of ethics or, if any material violation(s) of the Advisor’s code of ethics has occurred, that appropriate action has been taken in response to such violation. Upon written request of the Trust, the Advisor shall permit representatives of the Trust to examine the reports (or summaries of the reports) required to be made to the Advisor by Rule 17j-1(c)(1) and other records evidencing enforcement of the code of ethics;
(iv) the Advisor, pursuant to Rule 206(4)-7 under the Advisers Act, has adopted written policies and procedures designed to prevent violations of the Advisers Act and the rules thereunder, including policies and procedures designed to minimize potential conflicts of interest among the Funds and any other accounts advised or managed by it or its affiliates, such as cross trading policies, as well as those designed to ensure the equitable allocation of portfolio transactions and brokerage commissions; and

The Trust and the Advisor agree that they will not use any such material without the prior consent of the Sub-Advisor, which consent shall not be unreasonably withheld. In the event of the termination of this Agreement, the Trust and the Advisor will furnish to the Sub-Advisor copies of any of the above-mentioned materials that refer or relate in any way to the Sub-Advisor. The Trust and Advisor will be deemed to have furnished the foregoing documents by directing the Sub-Advisor to the appropriate internet address or by sending documents as attachments to electronic mail messages sent to the Sub-Advisor. The Trust and the Advisor will furnish to the Sub-Advisor such information relating to either of them or the business affairs of the Trust as the Sub-Advisor shall from time to time reasonably request in order to discharge its obligations hereunder. The Advisor and the Trust agree that neither the Trust, the Advisor, nor affiliated persons of the Trust or the Advisor shall give any information or make any representations or statements in connection with the sale of shares of the Series concerning the Sub-Advisor or the Series other than the information or representations contained in the Registration Statement, prospectus, or statement of additional information for the Trust, as they may be amended or supplemented from time to time, and reviewed and agreed to by the Sub-Advisor, or in reports or proxy statements for the Trust, or in sales literature or other promotional material approved in advance by the Sub- Advisor, except with the prior approval of the Sub-Advisor. Such approval will not be unreasonable withheld by the Sub-Advisor and Sub-Advisor agrees to reasonable turnaround times of and/all material submitted for approval.

Representations and Warranties of the Advisor. The Advisor represents and warrants to the Sub-Advisor and the Trust as follows:
(a) The Advisor is registered as an investment adviser Advisor under the Advisers Act;
(b) The Advisor is a corporation duly organized and validly existing under the laws of the State of Delaware, California with the power to own and possess its assets and carry on its business as it is now being conducted;
(c) The execution, delivery and performance by the Advisor of this Agreement are within the Advisor’s powers and have been duly authorized by all necessary action on the part of its Board of Directors, and no action by or in respect of, or filing with, any governmental body, agency or official is required on the part of the Advisor for the execution, delivery and performance by the Advisor of this Agreement, and the execution, delivery and performance by the Advisor of this Agreement do not contravene or constitute a default under under: (i) any provision of applicable law, rule or regulation; , (ii) the Advisor’s governing instruments; , or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Advisor;
(d) The Form ADV of the Advisor as provided to the Sub-Advisor is a true and complete copy of the form as currently filed with the SEC and the information contained therein is accurate and complete in all material respects and does not omit to state any material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading;
(e) The Advisor shall provide to the Sub-Advisor a complete copy of each amendment to its for ADV;
(f) The Advisor acknowledges that it received a copy of the Sub-Advisor’s Form ADV (a copy of which is attached as Exhibit B) prior to the execution of this Agreement;; and
(eg) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and
(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally.

(e) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and;
(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally;
(g) The Advisor and the Trust will comply in all material respects with all laws (including applicable money laundering laws and regulations) and orders to which they may be subject in performance of their obligations under this Agreement and the execution, delivery and performance of this Agreement;
(h) The Advisor and the Trust and their owners and controllers (i) have not violated and shall not violate any sanctions laws or regulations promulgated, administered or enforced by the United States and the Office of Foreign Assets Control, the United Nations, the European Union, or other applicable sanctions authority (“Sanctions”) and (ii) shall not transfer funds into the Sub-Advisor Assets which have been derived from or invested for the benefit of activities, parties or jurisdictions subject to or in violation of Sanctions, including anyone listed on Sanctions lists;
(i) The Trust is not insolvent or bankrupt or otherwise subject to an insolvency, bankruptcy or similar proceeding, whether voluntary or involuntary;
(j) The Trust is a “qualified institutional buyer” within the meaning of Rule 144A under the Securities Act of 1933, as amended;
(k) The Advisor and the Trust will supply the Sub-Advisor with, and update as required, all information (including a valid Legal Entity Identifier (defined as the code made up of 20 alphanumerical digits which is used to uniquely identify every legal entity or structure, in any jurisdiction, that is party to a financial instrument) and documents reasonably requested by the Sub-Advisor to enable it to provide the services under this Agreement or as required by any applicable law or regulatory authority; and
(l) Each Fund is a resident for tax purposes in the United States. The Advisor confirms that the Sub-Advisor may (as agent on behalf of the Advisor and the Trust) make such representations, warranties, confirmations and undertakings as set out in this Section 8 to such brokers, providers of execution and/or clearing services and/or counterparties in connection with the provision of the services under this Agreement.

(g) The Advisor shall promptly advise the Sub-Adviser, to the extent that it is permitted to do so, if and when it becomes aware that the Advisor and/or the Trust are the subject of any investigation or enforcement action conducted by any U.S. or other regulatory body or become a party in any litigation that will result in having a material adverse effect on the Trust or the Adviser.
(h) the Advisor and representatives of the Trust prepared the prospectus and statement of additional information for the Trust (the "Registration Materials") and the Registration Materials comply in all material respects with the 1940 Act; and
(i) to the best of the Advisor's knowledge and information, the Registration Materials, other than information provided pursuant to Par. 7(e) above, do not contain any untrue statement of a material fact or omit to state any material fact required by any applicable law to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading under applicable law.

(g) The Advisor will provide copies of the Fund’s registration statement on Form N-1A and any amendments thereto, annual and semi-annual reports, any shareholder proxy or information statements, advertisements, sales literature or other material relating to the Fund to the Sub-Advisor promptly upon filing; provided that if such documents contain any material statement about the Sub-Advisor or reflect any material amendment or revision to any material statement about the Sub-Advisor, then the Advisor will afford the Sub-Advisor with a reasonable opportunity to review such materials statements, amendments or revisions. The Advisor will provide copies of any policies and procedures adopted by the Fund (and any amendments and supplements thereto) that the Fund and/or the Advisor expect the Sub-Advisor to apply with respect to the Sub-Advisor Assets, including but not limited to, procedures pursuant to Rules 17e-1, 17a-7, 10f-3 and 12d3-1 under the 1940 Act;
(h) The Advisor has met or will seek to continue to meet for so long as this Agreement remains in effect, any applicable federal or state requirements, or the applicable requirements of any regulatory or industry self-regulatory agency necessary to be met in order to perform the services contemplated by this Agreement;
(i) The Advisor has adopted and implemented a written code of ethics complying with the requirements of Rule 17j-1 under the 1940 Act and has provided the Trust with a copy of such code of ethics and any amendments thereto;
(j) The Advisor has adopted and implemented written policies and procedures, as required under Rule 206(4)-7 under the Advisers Act, which are reasonably designed to prevent violations of federal securities laws by the Advisor, its employees, officers and agents (“Compliance Procedures”) and the Trust has been provided a copy of the Compliance Procedures (or summaries thereto) and will be provided with any future amendments thereto;
(k) This Agreement has been properly approved according to applicable laws, rules and regulations by the shareholders of the Fund (except as such vote may be unnecessary pursuant to relief granted by an exemptive order from the SEC), the Board and those Trustees of the Trust who are not parties to this Agreement or interested persons of any such party;
(l) The Trust has filed, or the Advisor has filed on the Trust’s behalf, a notice of eligibility with the National Futures Association for an exclusion from the definition of the term “commodity pool operator” with respect to the Fund pursuant to Commodity Futures Trading Commission Rule 4.5; and
(m) The Advisor has procedures in place which comply with all relevant anti-money laundering and privacy principles applicable to it, and any solicitations and other activities by the Advisor in connection with the Trust have been and will be conducted in accordance with applicable laws, rules and regulations.

(b) The Advisor is a corporation duly organized and validly existing under the laws of the State of Delaware, with the power to own and possess its assets and carry on its business as it is now being conducted;
(c) The execution, delivery and performance by the Advisor of this Agreement are within the Advisor’s 's powers and have been duly authorized by all necessary action on the part of its Board of Directors, and no action by or in respect of, or filing with, any governmental body, agency or official is required on the part of the Advisor for the execution, delivery and performance by the Advisor of this Agreement, and the execution, delivery and performance by the Advisor of this Agreement do not contravene or constitute a default under (i) any provision of applicable law, rule or regulation; (ii) the Advisor’s 's governing instruments; or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Advisor;
(d) The Advisor acknowledges that it received a copy of the Sub-Advisor’s 's Form ADV (a copy of which is attached as Exhibit B) at least 48 hours prior to the execution of this Agreement;
(e) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and
(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “"market timing,” " and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally.
(g) The Advisor hereby represents it is in compliance with all currently applicable anti-money laundering laws, rules and regulations including, but not limited to, the U.S.A. PATRIOT Act of 2001, P.L. 107-56.

(g) The Advisor will provide copies of the Fund’s registration statement on Form N-1A and any amendments thereto, annual and semi-annual reports, any shareholder proxy or information statements, advertisements, sales literature or other material relating to the Fund to the Sub-Advisor promptly upon filing; provided that if such documents contain any material statement about the Sub-Advisor or reflect any material amendment or revision to any material statement about the Sub-Advisor, then the Advisor will afford the Sub-Advisor with a reasonable opportunity to review such materials statements, amendments or revisions. The Advisor will provide copies of any policies and procedures adopted by the Fund (and any amendments and supplements thereto) that the Fund and/or the Advisor expect the Sub-Advisor to apply with respect to the Sub-Advisor Assets, including but not limited to, procedures pursuant to Rules 17e-1, 17a-7, 10f-3 and 12d3-1 under the Advisers Act;
(h) The Advisor has met or will seek to continue to meet for so long as this Agreement remains in effect, any applicable federal or state requirements, or the applicable requirements of any regulatory or industry self-regulatory agency necessary to be met in order to perform the services contemplated by this Agreement;
(i) The Advisor has adopted and implemented a written code of ethics complying with the requirements of Rule 17j-1 under the 1940 Act and has provided the Trust with a copy of such code of ethics and any amendments thereto;
(j) The Advisor has adopted and implemented written policies and procedures, as required under Rule 206(4)-7 under the Advisers Act, which are reasonably designed to prevent violations of federal securities laws by the Advisor, its employees, officers and agents (“Compliance Procedures”) and the Trust has been provided a copy of the Compliance Procedures (or summaries thereto) and will be provided with any future amendments thereto;
(k) This Agreement has been properly approved according to applicable laws, rules and regulations by the shareholders of the Fund (except as such vote may be unnecessary pursuant to relief granted by an exemptive order from the SEC), the Board and those Trustees of the Trust who are not parties to this Agreement or interested persons of any such party;
(l) The Trust has filed, or the Manager has filed on the Trust’s behalf, a notice of eligibility with the National Futures Association for an exclusion from the definition of the term “commodity pool operator” with respect to the Fund pursuant to Commodity Futures Trading Commission Rule 4.5;
(m) The Advisor has procedures in place which comply with all relevant anti-money laundering and privacy principles applicable to it, and any solicitations and other activities by the Advisor in connection with the Trust have been and will be conducted in accordance with applicable laws, rules and regulations; and
(n) The Advisor acknowledges that the Sub-Advisor is an entity regulated by the FCA and in connection with the regulations promulgated by such authority the Advisor agrees to execute the Regulatory Side Letter attached hereto as Exhibit D.

(c) The execution, delivery and performance by the Advisor of this Agreement are within the Advisor’s powers and have been duly authorized by all necessary action on the part of its Board of Directors, and no action by or in respect of, or filing with, any governmental body, agency or official is required on the part of the Advisor for the execution, delivery and performance by the Advisor of this Agreement, and the execution, delivery and performance by the Advisor of this Agreement do not contravene or constitute a default under (i) any provision of applicable law, rule or regulation; (ii) the Advisor’s governing instruments; or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Advisor;
(d) The Advisor acknowledges that it received a copy of the Sub-Advisor’s Form ADV (a copy of which is attached as Exhibit BC) prior to the execution of this Agreement;
(e) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and
(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally.

(e) The Advisor acknowledges and agrees that it received a copy of the Sub-Advisor’s Conflict Management Disclosure Statement, Best Execution Policy and Investment Risks Statement prior to the execution of this Agreement.
(f) The Advisor and the Trust have duly entered into the Advisory Agreement pursuant to which the Trust authorized the Advisor to enter into this Agreement; and.
(fg) The Advisor represents that the Fund(s) (Sub-Advisor Assets) is free from all liens and charges and no part of the Funds has been granted by way of security or is otherwise subject to any claim by a third party.
(h) The Advisor undertakes, - to provide the Sub-Advisor with such information or production of documents deemed necessary by the Sub-Advisor (acting reasonably) to allow for and to further the Sub-Advisor’s performance of its obligations under this Agreement and/or to allow the Sub-Advisor’s compliance with relevant laws and regulations, - That it is solely responsible for ensuring that the Sub-Advisor Asset’s investment objectives, policies and restrictions comply with relevant laws and regulations,
(i) The Advisor and the Trust have policies and procedures reasonably designed to detect and deter disruptive trading practices, including “market timing,” prevent the violation of the Federal Securities Laws and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, .
(j) The Fund documentation which is marketed and comply distributed to investors complies with all existing applicable laws and future laws relating to such matters contains no material misstatements or to the purchase and sale untrue statements of interests in the Funds generallyfact.

(f) The Advisor and the Trust have policies and procedures designed to detect and deter disruptive trading practices, including “market timing,” and the Advisor and the Trust each agree that they will continue to enforce and abide by such policies and procedures, as amended from time to time, and comply with all existing and future laws relating to such matters or to the purchase and sale of interests in the Funds generally;
(g) The Advisor shall provide to the Sub-Advisor the list of all securities or other assets in which Sub-Advisor Assets may not be invested or with respect to which there are limitations on investments. The Advisor shall notify the Sub-Advisor promptly, in writing, of any change in such list;
(h) The Advisor acknowledges that the Sub-Advisor Assets may not constitute all of the assets of a Fund and, therefore, Sub-Advisor is not responsible for diversifying all of the investments in a Fund and Advisor agrees that the only responsibility which Sub-Advisor shall have with respect to diversification will be to diversify the assets it manages within such Fund’s prospectus and statement of additional information so as to minimize the risk of large losses without regard to or consideration of any other assets which may be held in a Fund; and
(i) The Advisor is establishing and will be maintaining the Sub-Advisor Assets solely for the purpose of investing the relevant assets and not with a view to obtaining information regarding portfolio holdings or investment decisions in order to effect securities transactions based on such information or to provide such information to another party, and that the Advisor and its employees, officers and directors shall not use account holdings information for any of the foregoing purposes.
