Representations and Warranties of the Buyer and Holdings. The Buyer and Holdings jointly and severally represent and warrant to the Seller as follows:
Representations and Warranties of the Buyer and Holdings. Each of the Buyer and Holdings represents and warrants, jointly and severally, to the Acquired Asset Entities that the statements contained in this §4 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this §4), except as set forth in the disclosure schedule of the Buyer and Holdings attached hereto as Exhibit F-1 (“Buyer’s Disclosure Schedule”). The Buyer’s Disclosure Schedule will be arranged in paragraphs corresponding to the lettered and numbered paragraphs contained in this §4. The disclosures set forth in any such lettered and numbered paragraph in the Buyer’s Disclosure Schedule shall qualify any other specific lettered and numbered paragraph of this §4 if and to the extent that it is readily apparent from a reasonable reading of the disclosure that such disclosure is applicable to such other lettered and numbered paragraph of this §4. For example, the mere listing (or inclusion of a copy) of a document or other item shall not be deemed adequate to disclose an exception to a representation or warranty made herein (unless the representation or warranty has to do with the existence of the document or other item itself).
