Representations and Warranties of the Seller and the Buyer. (a) The Seller represents and warrants to the Buyer, as of the Closing Date and any Sale Date, as applicable, as follows:
Representations and Warranties of the Seller and the Buyer. (a) The Seller and the Buyer hereby represent and warrant to each other that there has been no act or omission by either the Seller or the Buyer, as the case may be, that would give rise to any valid claim against any of the parties hereto for a brokerage commission, finder’s fee or other like payment in connection with the transactions contemplated hereby. (b) The Seller and the Buyer hereby represent and warrant to each other that each possesses sufficient knowledge and experience in business and financial matters to evaluate the risks and merits of the transactions contemplated hereby. (c) The Seller and the Buyer hereby represent and warrant to each other that each has had an opportunity to asks questions of, and receive satisfactory answers from, the Company, or a person or persons acting on its behalf, concerning the business and affairs of the Company.
