REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND THE COMPANIES. Each of the Sellers, Colab, APS and Micro, jointly and severally, make the following representations and warranties to the Purchaser, each of which shall be deemed material (and the Purchaser, in executing, delivering and consummating this Agreement, has relied and will rely upon the correctness and completeness of each of such representations and warranties notwithstanding any independent investigation):
REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND THE COMPANIES. The Sellers and the Companies hereby make the following representations and warranties to the Buyer, each of which is true and correct on the date hereof, shall remain true and correct to and including the Closing Date, shall be unaffected by any notice to the Buyer other than in the Disclosure Schedule (as defined herein) and shall survive the Closing.
