REPRESENTATIONS AND WARRANTIES OF THE VENDOR AND VENDOR'S COVENANTOR. To induce the Purchaser to enter into and complete the transactions contemplated by this Agreement, the Vendor and Vendor's Covenantor hereby jointly and severally represent and warrant as representations and warranties that are true and correct as at the date hereof and that will be true and correct at the Closing Date as if such representations and warranties were made on the Closing Date, with the intent that the Purchaser shall rely thereon in entering into this Agreement, and in concluding the purchase and sale contemplated herein the following:
