Status of Vendor. The Vendor is a corporation duly incorporated under the Company Act (British Columbia), is validly existing and in good standing regarding the filing of annual returns until 1998, and has the power and capacity to own and dispose of the Assets, to carry on the Business now being conducted by it, to enter into this Agreement, and carry out its terms to the full extent.

Status of Vendor. All Vendor staff referred to UCDHS pursuant to this agreement shall for all purposes under this agreement be considered employees of Vendor only. Vendor shall assume sole and exclusive responsibility for the payment of wages to Vendor staff for services performed by them at UCDHS. Vendor shall, with respect to said Vendor staff, be responsible for withholding federal and state income taxes, paying federal social security taxes, unemployment insurance, maintaining worker's compensation coverage in an amount and under such terms as required by the California Labor Code. Failure to comply with these requirements will result in disqualification of your firm as an approved vendor for services requested and termination of the contract.
Status of Vendor the Vendor is a corporation incorporated and subsisting under the Province of Ontario. The Vendor is registered and otherwise duly qualified to carry on business in Ontario and has the power and capacity to own and dispose of the GP Shares and the Project LP Interests, to enter into this Agreement and to carry out its terms. The Vendor is not a consumer as defined in the Consumer Protection Act, 2002;
Status of Vendor. The Vendor is engaged as an independent Vendor for the sole purpose of performing the Work and shall conduct all operations in the Vendor’s own name and not in the name of, or as agent for the Town. The Vendor shall not be deemed an employee of the Town.
Status of Vendor. Vendor will perform the Services in Vendor's own way, by controlling the manner and means of the work City needs completed, and pursuant to this Agreement as an independent contractor and in pursuit of Vendor's independent calling, and not as an employee of City. Vendor agrees to indemnify and pay City within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment, including, but not limited to, those based on any provision of the Federal Affordable Care Act, which City may be required to make on behalf of Vendor or any agent, employee, or contractor of Vendor for work done under this Agreement. At the City’s election, City may deduct the amounts paid pursuant to this Section, from any balance owing to Vendor.
Status of Vendor. The Vendor shall perform all work under this Contract as an independent Vendor and not as an agent or employee of the City. The Vendor shall not represent that Vendor is an employee or agent of the City in any capacity.

With respect to any Contract Personnel, officers, directors, employees, subcontractors or agents directly or indirectly used by Vendor to perform the Services under this Agreement (including, any Order issued hereunder), Vendor agrees to be liable for payment of their compensation, and Vendor shall pay any and all taxes, governmental charges and other legal obligations, including, but not limited to, withholding and reporting of income and social security taxes, contributions to social security and unemployment taxes, and the obtaining of statutorily required levels of worker's compensation insurance. Neither Vendor nor its Contract Personnel, officers, directors, employees, subcontractors or agents shall have the power or authority to act on behalf of Xxxxxxx or in its name or to bind Xxxxxxx, either directly or indirectly, in any manner.
