Status of Vendor. The Vendor is a corporation duly incorporated, validly existing and in good standing under the laws of British Columbia, and has the power, authority and capacity to own and dispose of the Assets and to carry on the Vendor's Business as now being conducted by it, and to enter into this Agreement and carry out its terms to the full extent.
Status of Vendor. The Vendor shall perform all work under this Contract as an independent Vendor and not as an agent or employee of the City. The Vendor shall not represent that Vendor is an employee or agent of the City in any capacity.

Status of Vendor. All Vendor staff referred to UCDH pursuant to this agreement shall for all purposes under this agreement be considered employees of Vendor only. Vendor shall assume sole and exclusive responsibility for the payment of wages to Vendor staff for services performed by them at UCDH. Vendor shall, with respect to said Vendor staff, be responsible for withholding federal and state income taxes, paying federal social security taxes, unemployment insurance, maintaining worker's compensation coverage in an amount and under such terms as required by the California Labor Code. Failure to comply with these requirements will result in disqualification of your firm as an approved vendor for services requested and termination of the contract.
Status of Vendor the Vendor is a corporation incorporated and subsisting under the laws of the Province of Ontario. The Vendor is registered and otherwise duly qualified to carry on business in Ontario and has the power and capacity to own and dispose of the Project and the Purchased Assets, to enter into this Agreement and to carry out its terms. The Vendor is not a consumer as defined in the Consumer Protection Act, 2002;
Status of Vendor. The Vendor is a limited liability company duly formed under the laws of the State of Arizona, is validly existing and in good standing regarding the filing of annual returns, and has the power and capacity to own and dispose of the Assets, to carry on the Business now being conducted by it, to enter into this Agreement, and carry out its terms to the full extent.
Status of Vendor the Vendor is not a “U.S. Person” as defined by Regulation S of the U.S. Securities Act and is not acquiring the Purchaser Shares for the account or benefit of a U.S. Person. A “U.S. Person” is defined by Regulation S of the Act to be any person who is:
(i) any natural person resident in the United States;
(ii) any partnership or corporation organized or incorporated under the laws of the United States
(iii) any estate of which any executor or administrator is a U.S. person;
(iv) any trust of which any trustee is a U.S. person;
(v) any agency or branch of a foreign entity located in the United States;
(vi) any non-discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary organized, incorporate, or (if an individual) resident in the United States; and
(vii) any partnership or corporation if:
(a) organized or incorporated under the laws of any foreign jurisdiction; and
(b) formed by a U.S. person principally for the purpose of investing in securities not registered under the Act, unless it is organized or incorporated, and owned, by accredited Vendors [as defined in Section 230.501(a) of the Act] who are not natural persons, estates or trusts;
Status of Vendor. The Vendor shall have delivered to the Purchaser reasonable and satisfactory evidence that the Vendor is not an un-discharged bankrupt, is not suffering under any disability and has no outstanding and unsatisfied executions against him which would affect his ability to sell the Shares.
Status of Vendor. It is mutually agreed that Vendor and its employees are independent contractors, not employees or agents of the County, and as such are solely responsible for payment of all federal, state and local income taxes, self-employed Social Security taxes, and any other similar obligations arising from the performance of this Contract or receipt of compensation therefore. Vendor agrees to indemnify and hold the County harmless from and against any federal, state or local tax liability or penalties that may arise from the payments made to Vendor pursuant to this Contract. Vendor acknowledges that neither it nor its employees are eligible for any benefits provided by the County to its employees and have not been promised any future employment with the County.
Status of Vendor. Each Vendor is either: (i) not a “person in the United States” and is “outside the United States” within the meaning of Rule 902(h) of Regulation S, or (ii) an “accredited investor” for purposes of the Regulation D to the Securities Act.
