Representations and Warranties of Transfer Agent. 6.1 Governance. Computershare Trust Company, N.A. is a federally chartered limited purpose national bank duly organized under the laws of the United States and Computershare Shareholder Services, Inc. is a corporation validly existing and in good standing under the laws of the State of Delaware and they have full corporate power, authority and legal right to execute, deliver and perform this Agreement. The execution, delivery and performance of this Agreement by Transfer Agent has been duly authorized by all necessary corporate action and constitutes the legal valid and binding obligation or Transfer Agent enforceable against Transfer Agent in accordance with its terms.
Representations and Warranties of Transfer Agent. Transfer Agent represents and warrants to Fund that:
(a) It is a corporation duly organized and existing in good standing under the laws of the State of Florida.
(b) It is registered as a transfer agent to the extent required under the Securities Act of 1934.

3.02 It is empowered under applicable laws and by its charter and by-laws to enter into and perform this Agreement.
3.03 All requisite corporate proceedings have been taken to authorize it to enter into and perform this Agreement.
3.04 It has and will continue to have access to the necessary facilities, equipment and personnel to perform its duties and obligations under this Agreement.
3.05 It is and shall continue to be a duly registered transfer agent pursuant to Section 17A(c)(2) of the Securities Exchange Act of 1934, and shall perform its obligations under this Agreement in compliance with applicable law.
Representations and Warranties of Transfer Agent. The Transfer Agent represents and warrants to the Trust that: (i) it is duly organized and existing and in good standing under the laws of North Carolina; (ii) it is duly qualified to carry on its business and has obtained all regulatory licenses, approvals and consents necessary to carry on its business as now conducted; (iii) it is empowered under applicable laws and its organizational documents to act as transfer agent and dividend disbursing agent and to enter into, and perform its obligations, under this Agreement; (iv) this Agreement has been duly authorized, executed and delivered by the Transfer Agent and constitutes a valid and legally binding obligation of Transfer Agent, enforceable in accordance with its terms; (v) it has and will continue to have access to the necessary facilities, equipment and personnel to perform its duties and obligations under this Agreement; (vi) it is conducting its business in substantial compliance with all applicable laws and requirements; (vii) it has in place and shall maintain physical, electronic, and procedural safeguards reasonably designed to protect the availability, security, confidentiality and integrity of, and to prevent unauthorized access to or use of, any and all books, records and information related to the Trust.
Representations and Warranties of Transfer Agent. The Transfer Agent represents and warrants to the Company that:
(a) Governance. The Trust Company is a federally chartered limited purpose national bank duly organized, validly existing, and in good standing under the laws of the United States and Computershare is a corporation duly organized, validly existing, and in good standing under the laws of the State of Delaware and each has full power, authority and legal right to execute, deliver and perform this Agreement. The execution, delivery and performance of this Agreement by Transfer Agent has been duly authorized by all necessary action and constitutes the legal, valid and binding obligation of Transfer Agent enforceable against Transfer Agent in accordance with its terms;
