WellPoint represents and warrants that it has been offered full access to the books and records of the Corporations, PS I, PS II and the Property Partnership and has utilized such access to the extent it deems necessary for the purpose of obtaining information in addition to, or verifying information included in, this Modification Agreement. WellPoint represents and warrants that it intends to hold the Stock for investment purposes only, and not with a view to, or for sale in connection with, any distribution.
