Xxxxxxxx represents and warrants to SCC that the statements contained in this Subsection 9.2 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Subsection 9.2.)

The Wrestle-plex Liabilities shall not be deemed to include liabilities arising from transactions involving Cirmaker Industry Co., Ltd. or items related to those transactions or affiliations with Cirmaker.

Xxxxxxxxx will hold Process Equipment, Inc. harmless from the payment of all such liabilities (hereinafter collectively referred to as the "Process Engineering Liabilities"). The Process Engineering Liabilities shall not be deemed to include liabilities arising from transactions involving Jade Profit Investment Limited or items related to those transactions or affiliations with Jade Profit Investment Limited.
