Xxxxxx Xxxxxxxx represents and warrants to Falcon and Sub that, except as set forth in the Disclosure Schedule attached to and made a part of this Agreement, all of the statements contained in this Article IV are true and correct as of the date of this Agreement (or, if made as of a specified date, as of such date). Each exception set forth in the Disclosure Schedule and each other response to this Agreement set forth in the Disclosure Schedule is identified by reference to, or has been grouped under a heading referring to, one or more specific sections of this Agreement. Each such exception or response may be deemed to be an exception or response to one or more other sections only if the level of particularity or manner of disclosure of the fact or item expressly disclosed would permit a reasonable person to find such disclosure relevant to another section.
