Representations and Warranties True at Effective Time. The representations and warranties made by FDB in this Agreement shall be true and correct on and as of the Effective Time with the same effect as though such representations and warranties had been made or given on and as of the Effective Time, except for changes contemplated by this Agreement, and except also for representations and warranties as of a specified time other than the Effective Time, which shall be true and correct in all material respects at such specified time. FDB shall have delivered to BIF a certificate of its President or any Vice President to the same effect.
