Representations; No Defaults. At the time of each Extension of Credit there shall exist no Default or Event of Default, and each Extension of Credit shall be deemed a renewal by Borrower of the representations and warranties contained in this Agreement and an affirmative statement by Borrower that such representations and warranties are true and correct on and as of such time with the same effect as though such representations and warranties had been made on and as of such time.
Representations; No Defaults. At the time of each Borrowing, there shall exist no Default or Event of Default.
Representations; No Defaults. The representations and warranties contained in Article 6 of the Loan Agreement are true and correct on and as of the date hereof as if made on and as of such date, and no Default or Event of Default has occurred and is continuing.
Representations; No Defaults. At the time of each Extension of Credit there shall exist no Default or Event of Default.
Representations; No Defaults. The representations and warranties contained in Article VII of the Credit Agreement and Section 5 of the Guaranty (in each case as amended by this Amendment) are true and correct, and no Default or Event of Default (after giving effect to the consent and waiver set forth in this Amendment) has occurred and is continuing. 6
Representations; No Defaults. No Default or Event of Default exists.
Representations; No Defaults. The following statements shall be true and correct on and as of the Closing Date, and the Bank shall have received a certificate signed by the appropriate officer of the Commission, dated the Closing Date, stating that:
(i) the representations of the Commission contained in Section 4.01 hereof are true and correct on and as of the Closing Date as though made on and as of such date; and
(ii) giving effect to the issuance of the Letter of Credit and the execution and delivery of this Agreement by the Commission, there exists no Default or Event of Default.
Representations; No Defaults. The representations and warranties contained in Article VII of the Credit Agreement are true and correct, and no Default or Event of Default has occurred and is continuing.
Representations; No Defaults. On the Effective Date (i) the representations and warranties contained herein and in the other Credit Documents shall be true and correct in all material respects on and as of the Effective Date to the same extent as though made on and as of that date, except to the extent such representations and warranties specifically relate to an earlier date, in which case such representations and warranties shall have been true and correct in all material respects on and as of such earlier date and (ii) no event shall have occurred and be continuing or would result from the consummation of the transactions contemplated by this Agreement that would constitute an Event of Default or a Default.
Representations; No Defaults. The provisions set forth in Sections 3.2(f) and (g) shall be true and correct as of the Closing Date.
