Representations of ACH. ACH represents that: (a) it is a non-profit corporation duly organized and validly existing under the laws of the State; (b) it is legally empowered to enter into and perform the transactions contemplated by this Agreement; (c) the execution, delivery and performance of this Agreement does not and will not violate or conflict with any provision of law applicable to ACH, and does not, and will not, conflict with or result in a default under any agreement or instrument to which ACH is a party or by which it is bound which would have an adverse effect on ACH’s ability to perform its obligations under this Agreement (other than such adverse effect which is not material); (d) its Board of Directors has duly authorized the execution, delivery and performance of this Agreement; and (e) this Agreement, when executed and delivered by ACH, will constitute the legal, valid and binding obligations of ACH, enforceable against it in accordance with the respective terms thereof.   • Representations of the District The District represents, covenants and warrants to the Developer as follows:

The Sub-Adviser shall be subject to such Code of Ethics and shall not be subject to any other Code of Ethics, including the Investment Manager's Code of Ethics, unless specifically adopted by the Sub-Adviser. The Investment Manager further represents and warrants to the Sub-Adviser that (i) the appointment of the Sub-Adviser by the Investment Manager has been duly authorized and (ii) it has acted and will continue to act in connection with the transactions contemplated hereby, and the transactions contemplated hereby are, in conformity with the ICA, the Company's governing documents and other applicable law.
